1. Acceptance of Terms

By accessing or using the CoGrow AI website (cogrow.ai) and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our Services.

2. Description of Services

CoGrow AI provides AI-powered lead response, intake qualification, and follow-up automation services for businesses. Our Services include but are not limited to: speed-to-lead AI systems, automated intake and qualification, follow-up sequences, and client reporting dashboards.

3. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the entity you represent. By using our Services, you represent and warrant that you meet these requirements.

4. Account and Access

You are responsible for maintaining the confidentiality of any account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

5. Fees and Payment

Certain Services require payment of fees. All fees are stated in U.S. dollars and are due according to the billing terms agreed upon at the time of purchase. We reserve the right to change our fees upon 30 days' written notice. Late payments may be subject to interest at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.

6. Service Level

We strive to provide reliable and continuous Services but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable advance notice. We are not liable for any temporary unavailability due to maintenance, updates, or circumstances beyond our reasonable control.

7. Acceptable Use

You agree not to use our Services to:

• Violate any applicable law, regulation, or third-party rights
• Send spam, unsolicited messages, or misleading communications
• Interfere with or disrupt the integrity or performance of our Services
• Attempt to gain unauthorized access to our systems or data
• Use the Services for any fraudulent or deceptive purpose

8. Intellectual Property

All content, features, and functionality of our Services (including but not limited to text, graphics, logos, software, and AI models) are owned by CoGrow AI and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works without our prior written consent.

9. Data and Privacy

Your use of our Services is also governed by our Privacy Policy. By using our Services, you consent to the collection and use of information as described therein. You retain ownership of any data you provide to us through the Services.

10. Limitation of Liability

To the maximum extent permitted by law, CoGrow AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of our Services.

Our total aggregate liability for all claims arising from or relating to these Terms or our Services shall not exceed the total amount paid by you to CoGrow AI during the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless CoGrow AI, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your use of our Services or violation of these Terms.

12. Termination

Either party may terminate the service agreement with 30 days' written notice. We may suspend or terminate your access immediately if you breach these Terms. Upon termination, your right to use the Services will cease immediately.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Suffolk County, Massachusetts.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website with a new "Last updated" date. Your continued use of the Services after such changes constitutes acceptance of the modified Terms.
